Acceptance of Terms

Since we are continuously developing and upgrading our products and service, any technical, non-technical specification, including but not limited to web pages, reports tables, figures, images, videos or audios of any of products of molbase.com may be altered or completely changed in formats and contents without a prior notification either online or offline.

If molbase.com does take any legal action against you as a result of your violation of the Terms, molbase.com will be entitled to recover from you, and you agree to pay, all reasonable attorneys’ fees and costs of such action, in addition to any other relief granted to molbase.com. Applicable Law and Jurisdiction

The Terms shall be governed by, construed and interpreted in accordance with the laws of the People's Republic of China, without giving effect to principles of conflicts of law therewith. Any dispute or difference arising out of or concerning the Terms or this website which cannot be settled amicably shall be submitted to China International Economic and Trade Arbitration Commission (CIETAC) in accordance with its then-current arbitral rules for arbitration by three (3) arbitrators appointed in accordance with the said rules. The venue of arbitration shall be Shanghai, China. All documentary submissions, presentations, and proceedings shall be in the Chinese language. The awards of the arbitration shall be final and binding upon the applicable parties.

Miscellaneous

You may not use or export or re-export any Content or any copy or adaptation of any Content, or any product or service offered on molbase.com, in violation of any applicable laws or regulations.

If any of the provisions of the Terms are held by a court or other tribunal of competent jurisdiction to be void or unenforceable, such provisions shall be limited or eliminated to the minimum extent necessary and replaced with a valid provision that best embodies the intent of the Terms, so that the Terms shall remain in full force and effect. The Terms constitute the entire agreement between you and molbase.com with regard to your use of molbase.com, and any and all other written or oral agreements or understandings previously existing between you and molbase.com with respect to such use are hereby superseded and cancelled. Other than as provided in a purchase agreement you enter into with molbase.com, molbase.com will not accept any counter-offers to the Terms, and all such offers are hereby categorically rejected. Molbase.com’s failure to insist on or enforce strict performance of the Terms shall not be construed as a waiver by molbase.com of any provision or any right it has to enforce the Terms, nor shall any course of conduct between molbase.com and you or any other party be deemed to modify any provision of the Terms. The Terms shall not be interpreted or construed to confer any rights or remedies on any third parties.
